Sarbanes-Oxley: What You Need to Know

Several Section members mentioned at the Annual Meeting that the recently enacted Sarbanes-Oxley Act of 2002 may have a significant impact on transaction attorneys other than pure securities lawyers. Many of our members deal with securities issues and corporate clients, so we decided it would be beneficial to share recently compiled information on this topic. Attached are two recent client information memos, one by Dorsey & Whitney and one by Fulbright & Jaworski LLP, both of whom have graciously permitted EDirt to circulate them to our readership.

In addition, the ABA provided a teleconference on August 8, 2002, which was the first in a series of ongoing teleconference programs on this topic. BILLABLE HOURS: Readers may recall that EDirt circulated a request from the ABA Presidential Commission seeking participation in an ABA-wide survey on billable hours. That report is now complete and available, together with the staff comment, to anyone at the commission's web page. To those of you who participated in the survey, thank you.

Accountability for unprofessional conduct: Your editor received an email from the LPM Section which he thought would be of interest to the Section. A conference is scheduled for September 27-29, 2002 in Charleston, SC dealing with concerns about the accountability of lawyers for unprofessional conduct. Details are provided on the Professionalism of Lawyers and Judges web page for those interested.

This is certainly related to many of the issues raised by Sarbanes-Oxley, as well as (at least peripherally if not directly) the issues surrounding the pending "gatekeeper" initiative of the US Justice Department and other branches of the US government (as ably reported on and being monitored by our RP Division Chair, Kevin Shepherd -- see the attached final report on the Gatekeeper Initiative; and then be sure to read the upcoming issue of Probate & Property, which will contain an article by Kevin Shepherd discussing the Gatekeeper Initiative and its potential effect upon real estate practitioners).
