        The start of the 42nd Institute is only five days away now and, as
we prepare for that, we want to pass along a few news items we have

Institute Opening Reception

        The Heckerling Institute staff reminds everyone to attend the
Complementary Reception for Registrants that will be held in the exhibition
hall at the Marriott from 6:00 to 7:00 p.m. on Monday evening.  This is
a don't miss function - plenty of food and lots of things to drink, plus
a great place to meet and make friends with a lot of people.

Scope of the Institute:

The Heckerling Institute on Estate Planning is the nation's leading
conference for estate planning professionals. The program is designed for
sophisticated attorneys, trust officers, accountants, insurance advisors,
and wealth management professionals who are familiar with the principles of
estate planning.

. The recent developments panel on Monday afternoon, featuring three of the
nation's foremost estate planning experts, will guide you through the
year's most significant developments in estate planning, including the
latest developments on the
tax front.

. The general session lectures, which begin on Tuesday morning and continue
throughout the week, will provide in-depth analysis of topics of timely
interest to experienced estate planners.

. On Wednesday and Thursday afternoons, a wide variety of workshops, panel
discussions, and case studies will examine and provide practical guidance
on sophisticated estate planning techniques, including the popular series
on planning with financial assets. Sessions in the financial assets series
are designated [FIN]

. A second series of afternoon programs will focus on trust litigation and
tax controversies, including current issues in estate and gift tax audits,
trial-proofing FLPs, and the attorney or fiduciary as a witness. Sessions
in the litigation series are designated:[LIT]

. The fundamentals programs are of interest to not only entry-level
practitioners, but also to experienced planners who would benefit from a
thorough review of three important topics. This year the programs will
cover preparing the Form 709, planning with life insurance, and creating
and administering charitable remainder trusts.

As the largest gathering of estate planning professionals in the country,
with over 2,500 professionals in attendance, the Institute offers a unique
opportunity to exchange ideas, to network, and to review the latest in
technology, products and services displayed by over 100 vendors in an
exhibit hall that is dedicated entirely to the estate planning industry.

The new headquarters hotel, the Orlando World Center Marriott Resort &
Convention Center, offers nearly 2,000 hotel rooms as well as expanded
meeting and exhibit space plus a full array of superior dining and resort
services.  In addition, in response to suggestions that were made by last
year's registrants, complimentary evening shuttle service to selected local
dining and entertainment areas has been added.

9:00 - Current Valuation Issues Involving FLPs and LLCs

A discussion of current transfer tax issues involving the valuation of
interests in closely-held businesses, including family limited partnerships
and limited liability companies (including Section 2036). The discussion
will include an analysis of current lRS positions, defenses to those
positions, audit issues, recent case law and tips to help prepare for or
avoid a dispute with the IRS regarding these entities.

9:50 - Covering Your Client's S (Corporation)
10:40 a.m. Samuel A. Donaldson
The most recent statistics from the IRS confirm that S corporations
continue to dominate the choice of entity debate. With over 3.3 million
S corporations out there (compared to 2.3 million partnerships and 2.0
million C corporations), estate planners are sure to have clients with
these "simple" entities comprising a significant share of their gross
estates. This session goes beyond the basics, offering innovative
solutions to some of the most common problems estate planners
encounter when their clients use the S corporation form of business.

planning can produce valuable benefits. Integrating retirement assets into
a plan driven by other priorities requires attention to detail. Can retirement

better to direct non-retirement assets to charity? Why is income tax lower

approach to valuation of deductible claims for estate tax purposes. This
presentation will summarize the case law leading to the promulgation of
the new proposed regulations, comment on possible challenges to their
validity and consider the status of estates of decedents who died
prior to their effective date. The presentation will discuss the impact of
the proposed regulations on debts of related parties, the filing of
protective claims for refund, and the estate tax statutes of limitations.

A transfer of a difficult to value asset, such as a minority interest in a

techniques available to many clients. The most significant negative
aspect of the technique is the gift tax valuation risk. This session will
explore the use of various types of defined value transfers as well as

international estate planning, including up-to-the-minute developments.
Included will be best practices in the establishment and administration of
offshore trusts, and why U.S. persons may still wish to have offshore
trusts, developments in asset protection trusts, selection of offshore
jurisdictions, expatriation legislation, if any, current rules in anti-money
laundering, including the FATF and USA PATRIOT Act, and reporting
issues involving inbound and outbound trusts.

I-D - All I Want When I Retire Is the Money -- But How Do I Get It
From the Closely-Held Business?

This session will examine several case studies involving closely-held
company deferred compensation.

I-E - Optional Funding of 529 Savings Accounts
Susan T. Bart Sandy Baum
A number of factors enter into projecting the price of college (and higher
education) for a beneficiary and deciding how much should be saved in
a 529 savings account. Sandy Baum will present her research on the
actual price of college. Susan Bart will describe a methodology for
determining how much to place in 529 savings accounts.

I-F - Cross-Selling, Indexing and the Prudent Investor Act: Pitfalls
and Alternatives

Investing by trustees, whether corporate or individual, has never been

associated with cross-marketing of financial services, the bias in favor of

Advisors often wrestle with irrevocable trusts that no longer reflect the
clients' objectives. Because the trust terms are irrevocable, it may appear
that little can be done. However, it may be possible to modify an
irrevocable trust. This presentation will explore techniques to change
irrevocable trusts and the income, gift and generation-skipping tax
consequences of such modifications.

frequently the seller will receive an earn-out in addition to a guaranteed
amount as part of the sales price. Because the earn-out portion is a
contingent liability, the contingent payment installment sale rules and
contingent payment OID rules apply. This program will provide an
overview of these rules, examine how these principles are applied to
contingent payments, and conclude with practical advice in negotiating
sales to avoid tax traps.
