Professional Background: Michael W. Oshima has broad experience in financing and mergers and acquisitions transactions. He has worked on numerous loan transactions both secured and unsecured in such sectors as steel, energy, entertainment and telecommunications. He has also represented clients in registered offerings and private placements (including offerings in reliance on Rule 144A and Regulation S) of debt and equity securities. His work has included the representation of joint ventures and other parties in acquisitions and dispositions of strategic assets.

Mr. Oshima has also worked extensively with foreign sovereigns, including the governments of the Federative Republic of Brazil, the Republic of Panama and the Bolivarian Republic of Venezuela. His work for such clients has included Brazil's restructuring of approximately $49 billion of commercial bank debt, numerous offerings of debt securities and trade financings. He has also represented the Municipality of Rio de Janeiro in a $125 million offering of debt securities, the first by a Latin American municipality in the international capital markets.

Mr. Oshima has also served as the Administrative Partner for the New York office of Arnold & Porter LLP since 1999. He received his J.D. in 1987 from New York University School of Law, where he was Editor-in-Chief of the Annual Survey of American Law.
