This summer brought three significant developments in executive compensation: the Sarbanes-Oxley Act, stock exchange shareholder approval policies, and the growing movement to expensing of stock options. Panelists will discuss how the changes affect various plans and executive arrangements and identify questions that will have to be addressed by regulators and employers.

  • The impact of Sarbanes-Oxley on Section 16 reporting of insider transactions
     
  • The scope of the new prohibition on loans to insiders and current thinking on cashless exercise of stock options, split dollar life insurance, and other compensation arrangements
     
  • The new notice requirements for defined contribution plan blackouts and the prohibition on insider trading of employer stock during plan blackouts
  • New penalties for corporate officers, such as the clawback of CEO and CFO bonuses
     
  • The two "whistleblower" provisions (one protecting employees and the other affecting lawyers)
