
Our annual stand-alone meeting in Washington, D.C., is underway. The agenda has also been posted below. The schedule of activities includes meetings of our subcommittees and task forces and remarks from representatives of the SEC and the Antitrust Division. Also included is a special CLE presentation by Steven Davidoff, the "Deal Professor".
The Deal Points Studies, containing analysis of frequently-used contract clauses, are available (to committee members only) through the link found on the M&A Market Trends page. The 2009 Strategic Buyer\Public Target Study has recently been posted. Also available are the updated 2007 study and our first international study, which reports on Canadian transactions. The M&A Market Trends Subcommittee has made available, through the Committee's extranet site, copies of the source documents that were reviewed in producing the studies. The extranet site, accessible also through the M&A Market Trends page, includes a feature that permits full text searches of the source documents.
A new committee resource has been added to the site. Committee member Bill Payne, as part of his work on the Editorial Group of the Revised Model Stock Purchase Agreement with Commentary (coming to stores near you in the spring), has prepared an index of the Annual Surveys of M&A Law, which have appeared in The Business Lawyer, starting with 2002. The index is in spreadsheet form and provides ready access to the articles as well as a means to scan for topics of interest. The most recent issue of Deal Points, our committee newsletter, posted online here, In addition to reports from our various task forces and subcommittees, this issue contains a summary by the M&A Jurisprudence Subcommittee of the First Circuit's decision in Sonoran Scanners, Inc. v. PerkinElmer, Inc. Also included in this issue are two feature articles: one article co-authored by Mark Morton, Daniel Mason and me entitled "In re John Q. Hammons Hotels, Inc.: A New Roadmap for Conflict Transactions" and one article co-authored by Marc Darmo and Jeff Oldewening entitled "Planning for Canada-US Tax Treaty Changes Affecting Hybrid Entities." Finally, this issue contains the schedule of meetings and other activities for our meeting in Washington, D.C.
