This Committee focuses on all areas of employee benefits and executive
compensation including all aspects of equity compensation plans,
employement and separation agreements, executive compensation,
qualified and non-qualified retirement plans, health, welfare and
fringe benefit plans, compensation committee issues, employee benefits
in mergers and acquisitions, litigation, and a multitude of specialized
employee benefits issues under the Internal Revenue Code, ERISA, and
applicable corporate, securities, bankruptcy, employment, labor and
other laws and regulations.
