This Committee has jurisdiction over the Model Business Corporation Act, which has been adopted by approximately 32 states. We continuously consider the need for possible amendments or additions in light of developments in corporate laws, judicial decisions and regulatory actions. The Committee also focuses on other issues relating to the functioning of corporations, both public and non-public. The Committee also publishes guidelines for the functioning of members of the boards of directors, the Model Business Corporation Act Annotated (4th Edition) and other reports and papers. In addition, the Committee presents programs at Section meetings.
