Report of the Subcommittee Chair

The Task Force on Surveys of State Laws is pleased to announce that the ABA has published its new book Commercial Lending Law; A State-by-State Survey. It is available from the ABA webstore--click here.

The book contains a chapter on the laws of each of the 50 states plus the District of Columbia and Puerto Rico. Each chapter is organized in a similar format and contains a detailed discussion of the local laws and practice relevant to commercial lending, real estate lending and equipment leasing, generally including sections on the following topics, among many others:

  • State-specific loan document provisions required by local law
  • Need for qualification to do business as a lender in the state
  • Licensing and taxation of lenders
  • Interest and usury
  • Borrower types (e.g., corporations, partnerships, limited liability companies, trusts, etc.)
  • Marital property laws and personal exemptions from execution
  • Real estate secured lending (including security instruments available, mechanics liens, recording laws, title insurance and foreclosure procedures)
  • Personal property secured lending
  • Equipment leasing
  • Environmental laws
  • Miscellaneous laws of interest to commercial lenders
