Who We Are

The Commercial Finance Committee covers a broad range of finance transactions, focusing on practical issues, new developments and industry practices. ComFin currently sponsors taskforces dealing with surveys of state laws applicable to finance transactions, intercreditor agreements and syndicated loans, deposit account control agreements, IP security interest agreements, UCC filing and searching issues and a dictionary of commercial finance terms. Many of our subcommittees focus on issues relevant to all finance transactions (secured lending, documentation, creditor's rights, loan workouts and lender liability, and cross-border aspects of finance transactions), while others focus on specific industries or types of collateral (agricultural and agri-business, aircraft, intellectual property, maritime, real estate, and trade financing) or transaction structures such as syndicated credits and first and second lien structures.

Where Guarantors Meet Article 9: How Not to Mess Up Your Article 9 Enforcement When You Have a Guarantor

Secured lenders under Article 9 have recently found themselves enforcing their rights more than ever before. Many secured parties are not familiar with the foreclosure process and possible traps. One set of traps exists when there is a guarantee. A misstep can affect rights against the guarantor or against the borrower.

This program will cover:
>When is there a guarantee?
>What protections does Article 9 provide to a guarantor when a secured party is exercising its remedies?
>When there is a foreclosure, what rights does the guarantor have under the law of guarantee?
>What rights can be waived?
>What tactics should the secured party use in the foreclosure and bidding process to preserve its rights?
