Who We Are

The Securitization and Structured Finance Committee provides a forum for discussion of legal issues and market trends related to securitization and other structured finance transactions and the role of derivatives in such transactions. The SSF Committee covers structuring, legal, regulatory, accounting and market aspects of transactions, from the planning stages to issues relating to distressed transactions and markets. The SSF Committee includes attorneys representing a broad array of market participants and experience levels and serves as a source of information about securitization, structured finance and derivatives for attorneys who practice in other areas.

Roundtable Discussion of General Growth Properties. ?The Committee will meet on Friday from 10 AM - 11 AM and will present a roundtable discussion on the General Growth Properties, Inc. ("GGP") bankruptcy case rulings and their implications for the structured finance and securitization markets. The roundtable will be moderated by Vicki O. Tucker, Counsel, Hunton & Willams LLP, Richmond, Virginia; the roundtable panelists are Thomas F. Kaufman, Partner, Hunton & Williams LLP, Washington, D.C., Elisa Erlenbach Maas, Director, Richards Layton & Finger, P.A., Wilmington, Delaware, and Richard G. Smolev, Partner, Kaye Scholer LLP, New York, New York. Following a brief summary of the decisions and an update on the status of the GGP bankruptcy, the panel will discuss the issues raised by the GGP decisions on "bankruptcy remoteness" requirements in securitization and structured finance transactions; whether the decisions have widespread applicability or are limited to the unique features of GGP's organizational structure; and the industry's response to the decisions in structuring transactions going forward (including changes to transaction documents, SPE organizational documents and rating agency requirements).
