Program Description

This “how to” program will approach start-ups from the attorney’s perspective, offering strategies to identify and resolve key issues facing founders and investors, and navigating the increasingly rough waters of financing new and emerging businesses.

Topics include:

  • Choosing the right form of entity, including current uses of LLCs, subsidiaries, off-shore entities and “VC-friendly” structures
  • Identifying emerging tax considerations in organizing the business, structuring the ownership and funding operations, including an update on the use of "carried interests" to compensate partners and LLC members
  • Best practices in provisions and owners’ agreements to manage conflicts among various constituents, create exit strategies and protect business assets
  • Raising capital (the right way), and a discussion of recent trends in venture finance, project finance, angel investors and stimulus/government grant and loan programs
