is proud to present the Fifth Annual Institute
for the Young Business Lawyer in Dallas, TX! This all-day institute is
an incredible opportunity for the young business lawyer to obtain quality,
introductory CLE and a wonderful introduction to the benefits of
participating in the ABA and the Section of Business Law.
The Institute for the Young Business Lawyer will take place at the

In this session, an expert panel of practitioners and professors who teach

E-Discovery: What Every Business Lawyer Needs to Know Now
The program will be an overview of the new Federal Rules of Civil
Procedure relating to e-discovery as well as the most recent case
law interpreting those rules, trends concerning e-discovery, technical
information for the non-computer savvy needed to properly advise clients
on e-discovery and document retention issues, as well as practical
considerations concerning e-discovery issues.

A Different View on Credit Agreements: Representing the Borrower
The role of borrower's counsel in the negotiation, documentation and due
diligence relating to a loan transaction is quite broad and involves very
different considerations than representing the lender. From term sheet to
loan documents to legal opinions to perfecting security interests to client
certificates to closing and post-closing questions, the program will cover
the process and practical, legal and ethical issues for borrower's counsel.

A Practical Introduction to the Law of Electronic Payments
This seminar will provide a very practical, business-oriented introduction
to electronic payment products and the sources of law that govern them.
Rather than taking the usual approach of explaining payment statutes and
regulations, we will begin with an overview of the electronic payment
products that young lawyers are likely to encounter in practice. We will
cover the panoply of card products - credit, debit, prepaid, payroll, health
savings, gift, stored value - as well as online and mobile payments. We
will discuss operational rules for different products as well as consumer
protection, privacy, money laundering and other subject areas. Participants
will learn how to analyze the attributes and features of payment products
in order to determine the controlling legal authorities and to identify
potential legal issues.

Navigating Safe Harbors and Blue Skies - The abcDs of a Private Offering of Securities
This program will cover the basic elements of complying with Regulation D
under the Securities Act of 1933, as amended, a means of selling securities
without the necessity to file a registration statement with the SEC, and
the basic elements of compliance with the securities laws of the States in
connection with a private placement. Significant proposed amendments to
Regulation D, which may be effective by the date of the program, will be
covered, as well.

Understanding LLC Operating Agreements: If We Can Figure This Out, So Can You
Today, in most states, more LLCs are formed than are corporations and far
outpace the formation of limited partnerships. Young business lawyers will
find their practice devoted to the LLC. The foundation of LLCs are the operating
agreements, and this program is focused on issues and pitfalls that arise in
operating agreements.

Networking Luncheon
Join us during lunch as one of the Section of Business Law Advisors, Honorable
Patrick J. LeSage, addresses Institute attendees about relations between the
U.S. and Canada. Former Chief Justice of the Ontario Superior Court, Patrick
LeSage joined Gowlings in February 2004 when he retired from the bench. His
practice is focused on providing advice on complex disputes, and he also acts as
a mediator, arbitrator and/or fact finder in significant private and public sector
matters. Institute attendees will also have the opportunity to meet the leaders
of the Young Lawyer Forum and discuss how you can become involved in the
Forum and the Section.
