Section sound bites

Annual Meeting highlights

About 1,400 Section members made their way to New York City to attend part one of this year’s dual ABA Annual Meeting. The Section had more than 50 CLE programs and more than 200 committee and subcommittee meetings on the latest developments in business law. The second half of this historic meeting continued in London.

 

Top student writer

Heath Tarbert, of the University of Pennsylvania Law School, was the winner of the 1999-2000 Mendes Hershman Student Writing Contest sponsored by the Section.

His article on capital adequacy was selected as the best of 20 entries in terms of originality, research and analysis, as well as for its contribution to the body of literature on the subject.

 

Officers elected

At the Section’s business luncheon in New York, the following officers and Council members were elected:

• Chair-elect for a one-year term: Thomas L. Ambro, Wilmington, Del.

• Secretary for a one-year term: Steven O. Weise, Los Angeles

• Section delegate to the ABA House of Delegates for a three-year term ending in 2003: Barbara Mendel Mayden, Nashville, Tenn.

• Section delegate to the ABA House of Delegate to complete the unexpired term of Frank R. Morris, ending in 2001: Richard M. Phillips, Washington

• Council members for four-year terms ending in 2004: Harold B. Finn III, Stamford, Conn.; Leonard H. Gilbert, Tampa, Fla.; Linda C. Hayman, New York City; John M. Liftin, Newark, N.J.; William H. Schorling, Philadelphia

• Council member to complete the unexpired term of Steven O. Weise, ending in 2001: Marsha E. Simms, New York City

 

Section chair’s award

Frank R. Morris Jr. of Columbus, Ohio, was honored at the Section’s annual business luncheon as recipient of the Section Chair’s Award. The award was created to recognize an individual who has made significant contributions to the Section.

In addition to his outstanding contributions in his role as Section delegate to the ABA House of Delegates, Morris has strengthened the programs and activities of the Section and encouraged the educational and professional development of business lawyers.

 

National Minority Conference

On May 11-12, more than 250 lawyers were on hand for the National Conference for the Minority Lawyer, in San Francisco.

This was the first time that our Section, the Section of Litigation and the ABA Commission on Racial and Ethnic Diversity in the Profession teamed up to present a national conference aimed at lawyers of color. The Section’s programs focused on changes in the financial services arena, e-commerce and issues associated with Internet start-up businesses.

Acquiring companies

The Section is sponsoring a two-day National Institute on negotiating business acquisitions. It will be held in Boca Raton, Fla., on Nov. 6-8.

Panelists will include nationally known M&A lawyers and other professionals who will discuss all facets of the acquisition process, including techniques used in structuring deals; the tax, antitrust, securities, employee-benefits and accounting aspects of business acquisitions; as well as techniques for valuing acquisition candidates.

The institute will also include an extensive mock negotiation and argument that will give insights into how to negotiate key representations and warranties, closing conditions and indemnification provisions in an acquisition agreement.
