Having the government as the primary payor, account debtor or regulator of an industry, such as healthcare, government contractors and other regulated industries, presents unique challenges to secured lenders. Many of these challenges also are particularly troublesome or unfamiliar to the lawyers that represent secured lenders in their loan documentation, workouts and bankruptcies in these industries. Chattel Paper, Payment Intangibles and the PEB. Steve Weise (Heller Ehrman LLP) and Ed Smith (Bingham McCutchen LLP) will discuss the possible responses of the UCC Permanent Editorial Board (PEB) to the 9th Circuit BAP's controversial decision in the NetBank/Commercial Money Center case, holding that the payment rights evidenced by chattel paper can be assigned separately from the underlying chattel paper. They will also explain how, when and why the PEB might decide to take positions on issues like this in general. International Chattel Paper & Receivables. Steve and Ed will also discuss the United Nations Convention on the Assignment of Receivables in International Trade, recently signed by the United States and on its way to ratification. The Convention covers the assignment (as security or outright) of contractual rights to payment in commercial and loan transactions where either the assignment or the underlying receivable is deemed to be 'international' in nature. The Convention establishes rules for the law governing perfection and priority and also deals with substantive matters, such as bulk assignments, assignments of future receivables, anti-assignment clauses, and the rights of the obligors. Electronic Chattel Paper. Richard Newman (Mayer, Brown, Rowe & Maw LLP) and Mattias Hallendorff (Dorsey & Whitney LLP) will discuss the successful development of the necessary technology systems and a usable legal framework for determining, and rendering opinions on, perfection of security interests in electronic chattel paper by control, as reflected in recent securitization transactions and the 'white paper' issued by the ABA Joint Working Group on Transferability of Electronic Financial Assets (co-chaired by Mr. Hallendorff and Mr. Newman).

Sales representatives in the pharmaceutical industry operate in a complex regulatory environment. Almost every aspect of their work is subject to regulatory scrutiny. A handbook that communicates the way business is intended to be conducted in the field is a valuable tool for training and communications, but, more broadly, is useful in creating an ethical corporate culture. The speaker has led teams creating compliance handbooks at two companies. Most recently, she led a team in creation of a handbook to insure compliance, but also to instill confidence, in the sales force at Bristol-Myers Squibb. The BMS handbook won an award as a 'best practice in overall compliance programs' from the Pharmaceutical Compliance Forum, the leading organization of compliance counsel, officers and personnel from the pharmaceutical industry The speaker will address the creation of this state of the art compliance handbook and the development of a format that facilitated the provision of concrete, principled guidance to the field.. She will also discuss how the handbook development process is helpful as a tool for gap analysis in compliance programs. Finally, this presentation will address the collaboration with legal, regulatory and business functions necessary to create a useful handbook.

**Institute for the Young Business Lawyer: A Primer on Drafting and Negotiating Technology Licensing Agreements

Drafting and negotiating sophisticated technology licensing and acquisition agreements is a rapidly growing practice. Traditionally licensors have had the upper hand, but licensees have grown increasingly sophisticated and are demanding fairer agreements. Yet the field is littered with poorly drafted agreements that fail to adequately address the parties' needs and reflect poorly on the lawyers working the deal. A clumsy agreement can complicate negotiations and lead to a dispute down the road. Experts in drafting and negotiating technology licensing agreements will provide an introduction to this field. Topics covered will include how to structure a technology licensing agreement, the art and science of negotiating and drafting the risk allocation provisions, and how to draft using clear and effective contract language.

At closing, dispute resolution clauses are often drafted at the last minute with little thoughtful negotiation by the parties. Mediation provides a mechanism to resolve post-closing issues if the process is implemented at closing. This program will discuss how to work with corporate clients' closing transactions to include useful and enforceable alternative dispute clauses designed to expedite dispute resolution between the parties allowing them to focus on their business goals and objectives. Speakers will cover items that should be included on any corporate transactional lawyer's closing checklist for dispute resolution clauses and will discuss implementation and enforcement of the clauses post-closing. The ethics part of the program will address a lawyer's ethical obligations to advise clients of alternative dispute resolution procedures and duties in connection with implementation of procedures selected by clients.
