In light of the Enron debacle and parallel scandals in the nonprofit world, the IRS is putting nonprofit governance under the microscope. Using its ability to "regulate through disclosure", the IRS has added a new Governance Section to the publically available Form 990 annual tax return applicable to most tax-exempt organizations. Returns for most large exempt organizations whose tax years end after December 31, 2008, will need to disclose numerous governance practices. After full phase-in by December 31, 2010, most exempt organizations with income over $200,000 will be covered. Are your clients ready? Are the boards you serve on ready?
