The Model Business Corporation Act, 2007 contains all amendments to the text of the Model Act and Official Comments through December, 2007.
The Model Act was first promulgated in 1950 by the Committee on Corporate Laws of the American Bar Associations Section of Business Law. The Committee has regularly reviewed and revised the Act since that time, including a major revision in 1969, substantial changes to the financial provisions in 1980 and a completely revised Act in 1984. Significant amendments to the Model Act published in supplements regularly thereafter, including, most recently, 2005.
The Model Act is acknowledged and followed as a principal leading model of corporate statutes in the United States, having been adopted in whole or substantial part as the corporation statute of 30 states, while selected provisions of the Act have been adopted by many other states. The success of the Act is due to the many distinguished lawyers, judges and legal academics who have devoted countless hours to the study of the most important corporate law issues of the day and to the revision of the Act to address those issues.
