This panel examines the role and responsibilities of directors or members of other governing bodies who are nominated or elected by a particular constituency of the firm. In particular, what are the fiduciary or other responsibilities of such "representative" directors?
The issue has an enormous range of permutations: sovereign wealth funds, venture capital firms, labor unions, and government bodies, among other institutions, all may from time to time seek and obtain representation on the governing bodies of firms in which they invest or otherwise participate. How should the law define how these representatives are to behave? Under a conventional legal view, these representatives, barring contractual modification, are charged with advancing the interests of the firm and its owners as a collective abstraction. The panel explores whether this standard is appropriate and realistic.
